JOCCI Bylaws
 (Revised February 22nd, 2017)

Article I  (General):

1.  Please note that JOCCI has a Board of Directors (herein referred to as BOD)
2.  This organization shall be known as the Jeep Outdoor Club of Central Iowa (herein referred to as JOCCI).

Article II  (Objectives):

1.  JOCCI is organized as a not for profit CODE 504 REVISED DOMESTIC NON-PROFIT organization with incorporated status for the purposes of:
   a)  Providing social, educational, and recreational activities for its membership.
   b)  Participating in and supporting civil activities for the betterment of the community and surrounding areas.

Article III  (Membership & Dues):

1.  JOCCI has four different types of memberships including the Board of Directors (BOD), Charter Members, JOCCI Members, and Forum Only Members.
2.  None of the By-laws herein pertain to Forum Only Memberships.
3.  Owners of Jeep brand vehicles may be eligible for membership in JOCCI.
   a)  Jeep brand vehicle must be both titled with proper VIN# and registered branded as a Jeep vehicle.
   b)  Special instances relating to custom Jeep themed vehicles may be approved by the BOD.
4.  The primary applicant for membership must be at least 18 years of age, must hold a valid driver’s license, and must hold the minimum liability insurance coverage (specified by the state where the vehicle is licensed) on any vehicle they will drive at club events.
5.  Each membership includes the household comprised of the immediate family including children under the age of 18.  Children of the primary member, 18 and older, will not be considered part of that membership.
6.  Applicants for membership if possible should attend one meeting before submitting his/her application.  If this cannot be met, they can work with a member of the BOD.  Following review of this application by the BOD, the applicant will be notified of his/her acceptance or rejection.  Once approval is made, the annual dues of $35.00 becomes payable immediately.
7.  All members must conduct themselves in a respectable and orderly fashion whether in or out of club activities.  Any member disgracing him/herself in the public eye will be immediately subject to expulsion from the club.  This rule may also apply to posts on the JOCCI Forum.
8.  JOCCI is a family oriented club and strives to provide a safe environment for all members. To that end, JOCCI may conduct background checks on prospective and current members and reserves the right to deny or revoke club membership for any reason. The decision to deny or revoke membership is at the sole discretion of the BOD. Once a decision has been made to deny or revoke membership, it is the responsibility of the JOCCI President to contact the individual.
9.  Annual dues for membership in JOCCI shall be per membership per year, payable by March 1st of each year.  New members that join in the middle of any given year will pay adjusted dues based on the following schedule:
   a)  $35 for members joining between Jan 1st and July 31st.
   b)  $20 for members joining on or after August 1st until the end of the calendar year.
   c)  $35 for members joining on or after regular December meeting date covers in full the next year of membership.
10.  There are no dues associated to Forum Only Memberships.
11.  All members shall immediately notify the BOD upon a change of address, telephone phone number or email address.
12.  Resignation of any member shall be in writing, private message, and/or email submitted to the BOD.
13.  Upon termination or expulsion of membership, for any reason, no refund of annual dues will be made.
14.  When a member disposes of and has no immediate intentions of possessing a Jeep vehicle, their membership in this club shall terminate.  Overall decision will be made by the BOD.
15.  JOCCI by-laws are available on the Forum.

Article IV  (Meetings, Elections and Voting):

1.  Meetings of the membership shall be held once monthly at such times and places as designated by the BOD.
2.  Voting on issues and proposals at a meeting:
   a)  Fifty one percent (51%) of the membership present at meeting shall constitute a quorum for a vote on issues and proposals at a meeting.  This must be represented by no less than (ten) members.
   b)  Voting will be non-silent (open) unless a motion is proposed and seconded to make it a silent vote.
   c)  In order for a JOCCI membership to submit a vote on an issue or proposal, at least one family member (18 years or older) of the membership must be present at the meeting that the vote is going to take place.
   d)  There is an exception for the members that reside outside Polk County and the counties that border Polk County.  The members that reside outside in the outside counties can submit a vote via email or postal mail to the President AND Secretary (see your member list for email or postal address).
3.  Nomination of Officers:
   a)  Members can nominate other members or themselves for an officer position at any club meeting leading up to the election meeting.
   b)  The member that is nominated must be willing to take on the role and responsibility of that position in order for that member to be elected at the election meeting.
4.  Election of Officers (BOD):
   a)  Fifty one percent (51%) of the membership present at meeting shall constitute a quorum for election of officers.  This must be represented by no less than (ten) members.
   b)  51% includes absentee ballots.  Any member that cannot participate in an election meeting can submit their vote(s) electronically to the Secretary prior to the start time of the election meeting.
   c)  This is true whether it is the regular election or a special election to fill a vacant position.  The election of officers will be a silent vote.
5.  Definition of a potential officer candidate:
   a)  Must have been with JOCCI for no less than the previous two full years to qualify.
   b)  Eligible members must be in good standing within JOCCI.
   c)  Must be willing to be at all or most club meetings, periodic, and annual board meetings.
   d)  Must be willing to fulfill the duties of the officer position as described in Article VI.
6.  A membership is allowed one vote.

Article V  (Administration of Officers):

1.  The officers of JOCCI shall consist of a President, Vice President, Secretary, and Treasurer and shall be known as the BOD.  It shall be their duty to draw up agenda for all board and membership meetings.
2.  The BOD shall also include the immediate past president if applicable.
3. Each term for the BOD will be two years.  The election of the BOD will take place at the January club meeting according to the following schedule:
  • The President and Secretary elections will take place in January of even numbered years.
  • The Vice President and Treasurer elections will take place in January of odd numbered years.
4.  Each member of the BOD cannot reside on the Board of a “like” organization.  A “like” classification will be determined by the BOD without the vote of the impacted member.5.  Further duties of the BOD shall be to conduct the day to day business; to take such actions as might best fulfill the aims of JOCCI, and to audit the books of the previous administration.
6.  The President, Vice President, Secretary and Treasurer shall not succeed for more than two successive terms unless there are
no other interested or qualified candidates to accept a nomination of a particular position.  Serving as an officer or director for part of a term due to vacancy shall not constitute a term.
7.  No officer shall be added to the club except by the vote of the majority of the entire membership of the club.

Article VI  (Duties and Powers of Officers):

1.  The President shall:
   a)  preside over all membership and board meetings
   b)  be present at all events when possible
   c)  be the executive officer
   d)  have the duty to carry out the policies and decisions of the BOD
   e)  be without right of vote on the BOD, except in the event of a tie
2.  The Vice President shall, in the absence of the President, serve in that capacity.  He shall also perform such other duties as may be assigned by the BOD.
3.  The Secretary shall:
   a)  keep and preserve all records and minutes of the meetings of the regular membership and the ledger roll call
   b)  determine the number of voting members present so it may be known if a quorum is in attendance
   c)  keep a file system of membership
   d)  receive and answer all general correspondence pertaining to the organization
   e)  sign checks with the Treasurer in the event the President and Treasurer are members of the same family
4.  The Treasurer shall keep accurate and complete records of the funds and accounts of this organization shall collect all dues and maintain a record thereof.  He/She shall make only such disbursements from the funds of the organization as are directed by the Board of directors and Article VIII hereof.

Article VII  (Expenditures and Finance):

1.  All money received from all sources shall immediately be turned over to the Treasurer to be deposited in the checking account of JOCCI.
2.  No withdrawal of funds shall be made without the approval of the BOD.
3.  Single expenditures in excess of one hundred dollars ($100.00) must have prior approval of the majority of a voting quorum of the membership.
4.  Single expenditures shall be paid by check.

Article VIII  (Election of Officers):

1.  The membership shall elect officers and directors for each two-year term at the time of the monthly membership meeting held in January as per the schedule outlined in Article VI, Section 3.  The newly elected officers shall take office on the following meeting in February.  Voting shall be either in person during the membership meeting or via an official ballot provided by JOCCI at least two weeks in advance of the meeting.  Anyone who has been a member for 2 consecutive full years and is in good standing with JOCCI is an eligible candidate; however, the BOD has the ability to limit a member’s eligibility for a position of office as deemed necessary.
2.  Balloting for each office shall be submitted in secret via an official ballot provided by JOCCI.  All ballots for office shall be counted and checked by a minimum of two members.  A majority vote is required for election to the office.
3.  In the event of a vacancy of a position of the office, an election shall be called to elect a successor.  The process will be in the same manner as described in section 1 of this article.  If the remaining duration of the position is less than three months, the President shall appoint a successor for the remaining duration.

Article IX  (Recall):

1.  Any officer of JOCCI may be recalled by a two-thirds (2/3) majority vote of the entire membership, as long as there is a first and second motion to hold a vote.

Article X  (Events):

1.   All events shall be subject to the approval of the BOD.  Events will be under the direction of the Event Coordinator appointed by the BOD.
2.   All members are responsible to the direction of the appointed Event Coordinator and his/her appointed assistants from the set time of the beginning of the event to the termination of the event.
3.  All events must be conducted in an orderly manner and with safety as the prime consideration.  Any event held on private property will be subject to liability releases.
4.  All competitive events shall be under the direct authority, supervision, and control of the BOD.
5.  Any member determined to be mentally and/or physically impaired at the time of or during an event to the point that risks the safety of self or other participants in the event, shall be disqualified from participation in the event.
6.  Vehicles may be subject to technical inspection varying according to the type of the event and shall be disqualified from participation in the event if it is found to be unsafe or if it is not properly equipped for the event.
7.  Members should carry the proper gear to help ensure everyone's safety at each and every event.
   a)  Secure tow point(s) front and rear.
   b)  Recovery strap with loops (absolutely no hooks).
   c)  First Aid kit within reach of driver.
   d)  Fire extinguisher within reach of driver.
   e)  CB Radio highly recommended.
8.  All members and guests participating in an event shall abide by the State laws and club rules.

Article XI  (Rules and Procedures):

1.  The BOD will be the final determining group and majority vote of the BOD members will settle any issues not covered in these By Laws.

Article XII  (Amendments):

1.  These By-Laws may be amended by a two-thirds (2/3) majority vote at a regular membership meeting, a quorum being present and voting.  Any amendments to the By-Laws must be presented to the membership prior to the meeting in which the vote is taken.
